Greystone B.V. is not authorised or registered as an Alternative Investment Fund Manager (AIFM) under Directive 2011/61/EU (AIFMD) or the Dutch Financial Supervision Act (Wet op het financieel toezicht, "Wft"). Any investment opportunities referenced on the Site are private placements made available only to qualified investors pursuant to applicable national exemptions. Nothing on the Site constitutes a regulated offer or marketing of an alternative investment fund within the meaning of AIFMD.
Jurisdictional Restrictions — United Kingdom
The Site has not been approved by an authorised person under section 21 of the Financial Services and Markets Act 2000 ("FSMA"). It is therefore directed only at, and may only be acted upon by, persons who fall within one or more of the following exemptions under the Financial Promotion Order 2005 (as amended):

Where Greystone B.V. or its affiliates hold real estate units in Ras Al Khaimah, those units are acquired off-plan from third-party developers registered with the Real Estate Regulatory Authority of Ras Al Khaimah ("RERA RAK"). Greystone B.V. acts as a purchaser, not as a developer, marketer or real estate broker, and does not conduct real estate brokerage, off-plan sales, escrow operations or development activities within the UAE. All statutory permits, escrow accounts and regulatory filings relating to such projects are held and operated by the registered developer in compliance with applicable RERA RAK regulations.
Greystone B.V. does not maintain a branch office or a place of business in the UAE, and any communications with UAE-based persons occur from its registered office in the Netherlands. Where investment information is shared, it is directed only at persons who qualify as "Professional Investors" or "Institutional Investors" under applicable UAE law.
Jurisdictional Restrictions — United States
The Site is not directed at, and is not intended for distribution to or use by, any "U.S. person" within the meaning of Regulation S under the U.S. Securities Act of 1933, as amended (the "Securities Act"). No security or interest described herein has been or will be registered under the Securities Act or with any state securities authority, and none may be offered or sold in the United States or to U.S. persons in the absence of registration or an applicable exemption from registration.
