Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You may not (i) attempt to gain unauthorised access to any part of the Site or to any system or network connected to the Site, (ii) introduce viruses, trojans or other malicious code, (iii) automate, scrape, mirror or otherwise reproduce material from the Site in a manner inconsistent with these Terms, (iv) misuse our contact and investor forms, including by submitting false information or sending unsolicited communications, or (v) circumvent our security or rate-limiting controls.

Intellectual Property

Unless otherwise indicated, all content on the Site, including text, research dossiers, graphics, logos, photographs, renderings, schemas and source code, is the property of Greystone B.V. or of its licensors and is protected by Dutch and international intellectual property laws.

Editorial extracts from the Insights section may be quoted with attribution to "Victaura" and a link back to the original article. Other use, reproduction, distribution, public performance, modification, translation or adaptation of any content requires our prior written consent. All trademarks and registered trademarks of third parties remain the property of their respective owners.

User Submissions

When you submit information through our contact or investor forms, you confirm that the information provided is accurate and that you have the right to provide it. You grant us a non-exclusive, royalty-free, worldwide licence to process such information for the purposes described in our Privacy Policy. We do not assume any obligation of confidentiality in respect of unsolicited materials submitted to us, save where such an obligation arises by operation of law or under a separate written agreement.

No Investment Advice

The Site does not provide investment, legal, tax or other professional advice. Any references to investment opportunities are subject to the notices set out in our Important Information page. Nothing on the Site shall be construed as a recommendation to buy, sell or hold any security or financial instrument.

Third-Party Links

The Site may contain links to third-party websites, including data sources, regulators and brokerages. Such links are provided for convenience and editorial purposes only. We do not endorse and are not responsible for the content, accuracy or practices of any third-party site.

Limitation of Liability

To the maximum extent permitted by applicable law, Greystone B.V., its affiliates, officers, employees, agents and licensors shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of data or loss of business opportunity, arising out of or in connection with your use of the Site, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable mandatory law, including liability for fraud or fraudulent misrepresentation.

Indemnity

To the extent permitted by applicable mandatory law, you agree to indemnify, defend and hold harmless Greystone B.V. and its affiliates from and against any claims, damages, losses, liabilities and expenses, including reasonable legal fees, arising out of (i) your breach of these Terms, (ii) your misuse of the Site, or (iii) your violation of any applicable law or the rights of any third party. Nothing in this clause shall affect any rights you may have under mandatory consumer protection laws applicable in your jurisdiction.

Changes

We may modify these Terms at any time. We will provide reasonable advance notice of material changes via a prominent notice on the Site at least 30 days before they take effect. The "Last updated" date at the top of this page indicates the latest revision. Your continued use of the Site after the notice period has expired constitutes acceptance of the revised Terms.

Termination

We may, at our sole discretion, suspend or restrict your access to the Site at any time and without notice if we believe that you have breached these Terms or applicable law.

Entire Agreement

These Terms, together with our Privacy Policy and our Important Information notice, constitute the entire agreement between you and Greystone B.V. with respect to your use of the Site and supersede all prior agreements, representations and understandings between the parties relating to the same subject matter.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any successor entity, including in connection with a merger, acquisition or sale of assets, provided that the assignee assumes our obligations under these Terms.

Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Netherlands. Save where mandatory provisions of consumer law require otherwise, the competent courts of Amsterdam shall have exclusive jurisdiction over any such dispute or claim.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
