UAE Property Tax: VAT and Corporate Tax Lines

The UAE taxes property through two separate lines. VAT follows the asset, 5% on commercial real estate, 0% on a first residential supply within three years of completion, exempt after that. Corporate Tax follows the person, and for individuals it begins above AED 1,000,000 of turnover, with real estate investment income outside the test when no licence is required. This article reads the texts as written, with Ras Al Khaimah (RAK) registration fees as the municipality publishes them.

Puntos clave

  • - UAE VAT follows the asset. The FTA guide sets 5% on commercial real estate, 0% on a new residential property, and exempt on an existing residential property and on bare land (measured, FTA Real Estate VAT Guide VATGRE1, April 2021).
  • - The zero rate on a residential building applies to the first supply, by sale or lease, within 3 years of completion. Later supplies are exempt, including those inside the 3 years (measured, VATGRE1 sections 3.2 and 3.3).
  • - Completion is normally the date the building is certified complete, or the date of first occupation if that is earlier (measured, VATGRE1 section 3.2).
  • - Article 43(1) of the Executive Regulation exempts residential supplies where the lease is longer than six months or the tenant holds a Federal Authority for Identity and Citizenship ID card, and it does not state the treatment of shorter leases (measured, Cabinet Decision No. 52 of 2017 as consolidated 2026).
  • - Bare land is exempt and covered land is taxed at 5%. The guide places the line beyond foundation level, and fencing alone does not cover land (measured, Article 44 and VATGRE1 sections 5.2 to 5.4).
  • - Natural persons enter UAE Corporate Tax only above AED 1,000,000 of business turnover in a calendar year, and real estate investment income is excluded regardless of amount where the activity does not require a licence (measured, Cabinet Decision No. 49 of 2023, Articles 1 and 2).
  • - Corporate Tax is 0% on Taxable Income up to AED 375,000 and 9% above it, with an anti-splitting rule in Article 2(2) (measured, Cabinet Decision No. 116 of 2022).
  • - The Ras Al Khaimah Municipality portal lists 2% of market value on each of seller and buyer for a sale contract registration, plus AED 200 plan issuance and AED 200 title deed, and the page is not independently confirmed as current (measured, municipal portal page updated 9 July 2026). No penalty amounts were found in the texts read.

How does UAE VAT apply to property?

UAE VAT reaches property through the kind of asset supplied, not through who buys it. The Federal Tax Authority (FTA) publishes a Real Estate VAT Guide, reference VATGRE1, and the edition hosted on tax.gov.ae is dated April 2021. Its summary table in section 2.3 sorts a supply of real estate into a short list of treatments. A commercial property carries 5%. A new residential property carries 0%. An existing residential property is exempt. Bare land is exempt. Covered land carries 5%. A property inside a Designated Zone is out of scope. Every treatment in this paragraph is measured, read from the official guidance text.

Two terms carry most of the weight, and the guide uses them precisely. A zero-rated supply is taxed at 0%, and the guide says the VAT the supplier paid on related costs should be recoverable in full. An exempt supply carries no VAT, and the guide says the supplier cannot recover VAT on the costs that relate to it, such as agent fees. The invoice to the buyer may look the same in both cases. The economics for the seller do not.

The guide is not the law, and it says so. Section 1.1.4 states that it is issued under Article 73 of the Executive Regulations and is “not legally binding on the FTA”. The binding texts are Federal Decree-Law No. 8 of 2017 on Value Added Tax and its Executive Regulation, Cabinet Decision No. 52 of 2017, whose consolidated text on tax.gov.ae lists amendments up to Cabinet Decision No. 149 of 2026, effective 1 October 2026. This article reads the guide and the Executive Regulation side by side. It reads rules and does not compute any reader's bill, which belongs to a licensed adviser.

The residential building test in the Executive Regulation

A residential building is defined by design and intended use. Article 37(1) of the Executive Regulation says the phrase means a building “intended and designed for human occupation”. That includes a building or part of one that a person occupies, or can foreseeably occupy, as their principal place of residence, plus student accommodation, armed forces and police accommodation, orphanages, nursing homes and rest homes. Section 3.1 of the FTA guide repeats the list. Measured, read from the official text.

The exclusions matter as much as the definition. Article 37(2) says the term does not include a place that is not a building fixed to the ground, a hotel, motel, bed and breakfast establishment or hospital, a hotel apartment or serviced apartment or the like, or any building constructed or converted without lawful authority. Article 37(3) adds that a small office, a garage or a garden used with the home does not change its status.

The regulation and the 2021 guide are worded differently on serviced apartments. The guide excludes “a serviced apartment for which services in addition to the supply of accommodation are provided”. The regulation, with Article 37 marked as amended by Cabinet Decision No. 100 of 2024, excludes “a hotel apartment or serviced apartment or the like”, with no such qualifier. The desk treats the regulation as the binding text. A unit outside the residential definition is commercial real estate under section 6.1 of the guide, and its sale or lease carries 5% under section 6.2. For a hotel or serviced apartment in a resort, this is the line between 0% or exempt and 5%. Whether the difference changes the status of any given unit is a question for the authority or an adviser, and the desk does not answer it.

Which supply is zero-rated and which is exempt in the UAE?

The first supply of a residential building within three years of completion is zero-rated, and later supplies are exempt. Section 3.2 of the guide says the first supply may be a sale or a lease, must be made within three years of the building's completion date, and is zero-rated whoever the customer is. Section 3.3 says any other supply is exempt, including a later sale or lease made inside the three years. Measured, read from the official guidance text.

Completion has a working definition in the guide. Section 3.2 says the completion date is normally the date the building is certified complete by an appropriately qualified party. If the building is occupied before that date, the occupation date is taken as the date of completion. With the first-supply test, that date decides whether the zero rate is still available. The principal asks the seller for the completion certificate and any earlier occupation date.

Off-plan purchase follows the same logic, but timing rules still apply. Section 3.7 says a purchase direct from the developer before construction, or of a partly completed residential building, is zero-rated as a future supply of a residential building, assuming the conditions for a residential building are met. Section 2.2 adds that the time of supply rules in Articles 25 and 26 of the Decree-Law apply, and that the date of supply is triggered on the earliest event, which may be a payment received.

Leases carry a further condition in the regulation. Article 43(1) says the supply of residential buildings is exempt, unless zero-rated, where the lease is more than six months or the tenant holds an ID card issued by the Federal Authority for Identity and Citizenship. The article states the condition for exemption. It does not state, in those words, what treatment applies to a shorter lease to a tenant without that card, and the desk does not infer one.

Conversions and pre-2018 buildings have their own rules. Article 39 zero-rates the first supply of a converted building within three years of the conversion's completion, provided the original building was not a residence within five years before the works began. Section 3.2 says a building completed before 1 January 2018 can still qualify if its first supply falls after that date.

The same building can be zero-rated once and exempt ever after. What decides it is the first supply and a three-year date.

When is land bare land for UAE VAT?

Bare land is exempt, and covered land is taxed at 5%. Article 44 of the Executive Regulation defines bare land as land not covered by completed or partially completed buildings or civil engineering works. Section 5.2 of the guide says the supply of bare land, by lease or by sale, is exempt, so the supplier cannot recover VAT on costs such as legal or agent fees. Land that is not bare is treated as commercial land at the standard rate, assessed case by case. Measured, official text.

The guide draws the line at foundation level. Section 5.3 says construction counts as a partially completed building only once it has progressed beyond foundation level, and fencing or temporary movable structures do not by themselves cover land. Section 5.4 says pipes that protrude above the surface to allow a future connection make land covered by civil engineering works, while pipes running underneath with no access do not.

A lease can change character part-way. Section 5.6 says that once a tenant begins to develop, the land ceases to be bare. Where supply is treated as made periodically, the landlord charges the standard rate for later periods. Where the date of supply was triggered up front, for example by full payment before the lease starts, no adjustment is required. A Musataha agreement, which the guide distinguishes from short and medium-term leases and illustrates with a 50-year lease of a plot for development, is treated like a sale or a one-off lease once registered with the Land Department or Municipality.

Farm land is usually not bare. Section 5.5 says farm land will normally be commercial land because of irrigation and utility works, assessed case by case.

Commercial real estate and the 5% line

Sales and leases of commercial real estate carry VAT at 5%. Section 6.1 defines commercial real estate by exclusion, as any land or building that is not a residential building, not a building for a charity's relevant activity and not bare land. Section 6.2 says VAT is due on the total consideration, and where it is paid by instalment, on each instalment paid. Measured, official guidance text.

A special payment route applies to some commercial sales. Section 6.4 says that where commercial property is sold by a supplier other than its developer, the buyer pays the VAT directly to the FTA, or through a bank nominated by the FTA where available in the emirate, before the transfer is completed at the Land Department. The guide says that without proof of payment the purchase cannot proceed. The route does not apply to residential sales or leases, commercial leases, developer sales, or a sale that qualifies as a transfer of a business.

Registration thresholds are stated separately. The FTA registration page, whose header shows “Page last updated: Apr 06, 2026”, gives a mandatory threshold of AED 375,000 of taxable supplies and imports over the previous 12 months, or expected in the next 30 days, and a voluntary threshold of AED 187,500. It says the mandatory threshold does not apply to foreign businesses. This VAT threshold is a separate test from the AED 375,000 Corporate Tax band. Section 11.3 of the guide says the threshold for non-residents making taxable supplies in the UAE is nil, and that a non-resident landlord cannot use the reverse charge.

Place of supply and Designated Zones in the UAE

Real estate located in the UAE is supplied in the UAE, with one exception. Section 11.1 of the guide says a supply of real estate, including a sale or tenancy contract, is a supply of goods, and the place of supply is where the property sits. Any real estate in the UAE, except property in a Designated Zone, is therefore supplied in the UAE and falls under UAE VAT legislation. The guide's place of supply text has no test of the buyer's residence. The rule follows the asset.

Designated Zones are the exception, and the guide points to a separate FTA document. Section 11.4 says VATG203 confirms that supplies of real estate made within Designated Zones are outside the scope of VAT, subject to the conditions that attach to supplies of goods within them. The desk did not open VATG203 and does not reproduce the conditions. A principal who holds or buys inside such a zone needs the zone's status confirmed by the FTA.

Services tied to property follow the property. Section 11.2 says services directly connected with real estate are supplied where it is located, including estate agents' services and construction and maintenance work. The guide lists examples that are not so connected, such as advice on property markets generally and general legal advice on real estate contracts.

The FTA guide is not legally binding on the FTA. Where it and the Executive Regulation differ, the desk follows the regulation.

What does Cabinet Decision No. 49 of 2023 say about individuals and property?

Cabinet Decision No. 49 of 2023 sets when a natural person's activity is subject to UAE Corporate Tax. The decision was issued on 8 May 2023 and, under its Article 4, came into effect on 1 June 2023. Article 2(1) says Businesses or Business Activities conducted by a resident or non-resident natural person are subject to Corporate Tax “only where the total Turnover” derived from them “exceeds AED 1,000,000” within a Gregorian calendar year. Article 1 defines Turnover as “the gross amount of income derived during a Gregorian calendar year”. Measured, official text.

Real estate investment income is carved out of that test. Article 2(2) says activities that give rise to Turnover from Wage, Personal Investment income and Real Estate Investment income are not considered Businesses or Business Activities subject to Corporate Tax, “regardless of the amount of Turnover”. Article 2(3) adds that a natural person not conducting such a business is not required to register.

The carve-out turns on a licence. Article 1 defines Real Estate Investment as investment activity by a natural person related, directly or indirectly, to the sale, leasing, sub-leasing and renting of land or real estate property in the State, that is not conducted, or does not require to be conducted, through a Licence from a Licensing Authority. The decision does not list which property activities require a licence, and the desk found no such list in the text it read. Whether a given letting activity needs a licence is a question for the emirate's Licensing Authority, the body the definition names.

Non-residents are inside the decision's wording. The title and Article 2(1) cover resident and non-resident natural persons. An FTA news item of 24 December 2023, announcing its guide on natural persons, says non-resident natural persons are subject to Corporate Tax where they have a permanent establishment in the UAE. The desk reports the rule and takes no view on what any principal must register.

Corporate Tax rates and the AED 375,000 band

Corporate Tax is 0% on a first band of Taxable Income and 9% above it. Article 3(1) of Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses sets 0% on the portion of Taxable Income up to an amount specified in a Cabinet decision, and 9% above it. Cabinet Decision No. 116 of 2022, issued on 30 December 2022, fills in the amount. Its Articles 2 and 3 set it at AED 375,000. Measured, read from both official texts.

The base is Taxable Income, which starts from accounting profit. The Decree-Law defines Accounting Income as the accounting net profit or loss for the Tax Period under financial statements prepared in line with its Article 20. It also says tax is imposed on juridical persons and on Business income.

The band cannot be split artificially. Article 2(2) of Cabinet Decision No. 116 says that where Persons have artificially separated their Business or Business Activity, and the income across the whole was taxed at 0% on an amount above AED 375,000, the authority treats it as an arrangement to obtain a benefit under Article 50(1) of the Corporate Tax Law. Article 2(3) points the authority to legitimate commercial purpose and to financial, economic and regulatory ties.

Penalties were not read, so none is stated. The Decree-Law defines Administrative Penalties as amounts imposed under the Corporate Tax Law or the Tax Procedures Law. The desk did not open the penalty schedules and writes no amount. The FTA's Corporate Tax page gave 30 September 2026 in a headline as the deadline for filing returns and paying Corporate Tax for the financial year ended 31 December 2025. It concerns returns and not registration.

Ras Al Khaimah registration fees as the municipality publishes them

The Ras Al Khaimah Municipality's service portal publishes a fee table for registering a real estate sale contract. The service is coded ZL13, “Real Estate Sale Contract”, on sanad.mun.rak.ae. The table gives 2% of the market value of the property on the seller, 2% of the market value on the buyer, an AED 200 plan issuance fee, AED 200 for title deed issuance, 18 fils (AED 0.18) per square foot for farmland, and no fee for warehouses. The page gives three working days for the service. Measured, municipal portal page, with the caveats below.

The page also records who may own where. It states that UAE and non-Emirati customers may own property in freehold areas. For how that sits with residence rules, see Ras Al Khaimah: Freehold and the Golden Visa. The desk cites the line as the page writes it and does not extend it.

The page has limits the reader should see. Its metadata shows an update on 9 July 2026 and also flags the page as stale, a marker that it may be out of date. It does not name the issuing body in its text, although the domain is the municipality's, and it does not say who pays the AED 200 items. No other body of the emirate was found publishing the same figures. The desk grades the figures as measured but not independently confirmed as current.

Other figures circulate and were not used. Commercial guides quote different percentages for the same registration, and the desk could not tie them to an emirate body. A principal should read the fee table on the portal on the day of the transaction. The VAT texts do not mention these fees, and the municipality's page does not mention VAT.

The UAE tax lines in order, from purchase to exit

At acquisition, VAT and the emirate's registration fee are separate lines. The FTA guide decides whether the purchase carries 0%, 5% or no VAT, depending on the asset and its age. The emirate publishes its own registration fees. For a payment plan, VAT on commercial property is due on each instalment, and the earliest-event rule in section 2.2 can trigger the date of supply on a payment received. How a payment plan interacts with a protected account is covered in Escrow and the Payment Plan: Al Marjan Island.

During the holding period, rent follows the asset and income tax follows the person. A residential lease of more than six months, or to a tenant with the ID card, is exempt under Article 43(1), unless it is a zero-rated first supply. A commercial lease carries 5%. Section 3.4 of the guide says service charges for the upkeep of communal areas carry VAT at the standard rate and are neither zero-rated nor exempt. For Corporate Tax, Cabinet Decision No. 49 of 2023 places a natural person's unlicensed real estate investment income outside the test. Whether a company holding property is taxed, and how, depends on articles the desk did not read.

At exit, the later supply is exempt for a residential building and taxed for a commercial one. Section 3.3 says a residential building supplied after the first supply is exempt, so a seller cannot recover VAT on costs such as agent fees. For commercial property the buyer pays the VAT to the FTA before the transfer unless the seller is the developer or the sale qualifies as a transfer of a business. The mechanics of selling are in How Prime Property Actually Sells: The Exit. These are legal reads of the texts. They are not projections of any return, and the desk publishes none.

Where the evidence is thin, honestly disclosed

The guide in hand is the April 2021 edition. The file on tax.gov.ae is dated April 2021, and its amendments table lists changes in April 2020 and April 2021. The Executive Regulation has since been amended by Cabinet Decisions No. 88 of 2021, No. 99 of 2022, No. 100 of 2024, No. 100 of 2025 and No. 149 of 2026, as the consolidated text lists them. The desk could not confirm whether the FTA has issued a later edition of the real estate guide. Where regulation and guide differ, as on serviced apartments, the desk says so and defers to the regulation.

The VAT Decree-Law was not opened, and the Corporate Tax Law was only partly read. The desk cites no article of Federal Decree-Law No. 8 of 2017 for the rates or exemptions. Of the Corporate Tax Law it read the definitions and Article 3. It did not read Article 11, which Cabinet Decision No. 49 cites, nor the articles on exemptions, free zones, groups or penalties.

No penalty amounts were found. The FTA registration page gave thresholds and no penalty, and the Corporate Tax pages gave deadlines in headlines only. Not graded, because nothing was established. The Ras Al Khaimah figures rest on one municipal page with a stale marker. It is the only emirate source found.

Nothing here is a view on any reader's tax. The desk grades statutory and guidance text as measured, meaning the figure is recorded by the source. That grade says the number is in the text. It does not say the text is current on the day of reading or that it fits a given structure.
