Fractional Villas in Bali: What the Buyer Holds
A buyer of a fraction of a villa in Bali or Lombok does not hold land, because Indonesian law reserves freehold to citizens. The buyer holds shares, a lease, a token, a weekly right of use or a loan. This note sets out, for each instrument, who holds title, who decides a sale, how the holder exits and what happens if the operator fails.
IllustrazionePunti chiave
- - Only Indonesian citizens may hold Hak Milik, and Article 26(2) voids transfers to foreigners, so no fraction conveys land (Indonesia, Law 5/1960, Articles 21 and 26, 1960).
- - Hak Pakai and HGB terms reach at most 80 years (30 + 20 + 30) over state or Hak Pengelolaan land, subject to approval at each step (Indonesia, Government Regulation 18/2021, 2021).
- - Articles 42 and 45 of Law 5/1960 name foreigners domiciled in Indonesia, which on its wording does not describe a non-resident fractional buyer (Indonesia, Law 5/1960, 1960; directional reading, notary to confirm).
- - A shareholder in a PT holds limited liability under Article 3(1) and a residual claim behind creditors (Indonesia, Law 40/2007, 2007).
- - A fractional lease is, in Victaura Research's reading, a personal claim against the lessor, and its term is finite (Victaura Research analysis; directional).
- - A token adds a transfer mechanism and not title, and no source was found treating a token as a registered Indonesian land right as of 5 October 2026 (OJK Regulation 27/2024; finding of absence).
- - A weekly right of use falls near the EU timeshare frame with a 14-day withdrawal right, which does not give a claim on the Bali land (European Union, Directive 2008/122/EC, 2009).
- - A participating lender without registered Hak Tanggungan is an unsecured creditor, and secured enforcement may be suspended up to 90 days from the bankruptcy decision (Indonesia, Law 4/1996 and Law 37/2004, Article 56(1), 2004).

What does a buyer of a fraction of a Bali villa actually hold?
A fraction of a Bali villa is a claim on a structure, not a slice of land. The principal who buys one holds one of five things. Shares in a company, a lease, a token, a right of use for set weeks, or a loan to the promoter. Each answers four questions differently. Who holds title to the land. Who decides on a sale. How the holder exits. What happens if the operator fails.
The answer starts with a rule that does not move. Hak Milik is the freehold right under Indonesian agrarian law, and Article 21 of Law 5/1960 states that only Indonesian citizens may hold it. A foreigner who acquires it must relinquish it, and Article 26(2) makes transfers that pass the right to a foreigner void by law. No fraction structure changes that rule. It only changes who stands between the buyer and the land.
This note describes instruments, not products. It names no platform and no promoter and passes no judgment on any offer. It does not say that fractional ownership in Indonesia is illegal, because Victaura Research has not verified that, and a statement of that kind would need a primary source. What it does is lay out, instrument by instrument, the chain of title the buyer sits at the end of.
Every fraction has a chain, and the buyer sits at its end. At the top is the land right, registered with the land office (BPN). Below it is the entity or contract that holds that right. Below that is the document the buyer signs. The further the buyer sits from the registered right, the more the buyer depends on documents and counterparties rather than on the register.
Can a foreigner hold freehold on Bali or Lombok land?
No. Only Indonesian citizens may hold Hak Milik, and the statute voids transfers to foreigners. Article 21(1) of Law 5/1960 reserves ownership rights to citizens (Hanya warganegara Indonesia dapat mempunyai hak milik). Article 26(2) declares void any sale or similar transfer that passes the right to a foreigner. The land does not pass to the foreigner, and under Article 26(2) it falls to the State.
What a foreigner may hold are lesser rights, and the wording is narrow. Articles 42 and 45 list the holders of Hak Pakai (right of use) and hak sewa (lease right) as Indonesian citizens, foreigners domiciled in Indonesia, Indonesian legal entities, and foreign legal entities with a representative office in Indonesia. The text says domiciled. A fractional buyer who lives in Spain is not, on that wording, a foreigner domiciled in Indonesia. Victaura Research reads this from a public transcription of the law and flags it for confirmation by an Indonesian notary.
The term of those rights is a ceiling, not an entitlement. Government Regulation 18/2021 sets Hak Pakai and Hak Guna Bangunan (HGB, right to build) at 30 years, extendable by 20 and renewable for 30, up to 80 years over state land or Hak Pengelolaan land. Over Hak Milik land the term is 30 years, renewable by deed. Each step is an application to the land authority. For the wider framework, see how the Indonesian ownership framework treats foreign buyers.
The same logic runs through other resort markets. Where freehold is reserved to citizens, every structure offered to a foreign holder is a substitute for title. The freehold question in emerging resort markets applies the same test across several jurisdictions. The substitute decides what survives a dispute, whatever the brochure calls it.
Who holds title under a fractional lease?
Under a lease, the registered owner of the land keeps the title and the lessee holds a contract. The fraction holder leases from the Indonesian landowner, directly or through a head lessee that grants sub-leases. The land right, often Hak Milik, stays with the Indonesian owner. The lessee's right is the lease document.
In the ordinary analysis a lease is a personal claim, and its strength depends on the lessor. Victaura Research's reading is that a contractual lease binds the lessor and not the world, unless it is converted into a registered right. If the owner sells, mortgages or dies, the lessee's position depends on the lease terms, on the notarial form and on what a successor accepts. This is analysis and not a quoted rule. The principal's notary should confirm it for the specific document.
Term is the second weakness. A lease has a fixed end. Victaura Research's earlier review of leasehold marketing in Indonesia recorded that extension is a negotiation and not an entitlement, and that it found no statutory maximum lease term. In a fractional lease the holder shares a finite term with others, and each year the asset has less life left to sell.
Sale and exit run through the head lessee or the landowner. A fraction holder can usually assign only what the lease allows, to a party the lessor accepts. The lease holder does not decide the sale of the villa itself, because the villa stands on land the lessee does not own. At term end the improvements revert as the contract provides. If the lease is built as a registered hak sewa, the residency wording of Article 45 applies to the holder.
The register names one holder. Everyone else in the chain holds a document.

What is a token on a Bali villa, and what does it point to?
A token is a record, and what it proves depends on what the record is attached to. A token that represents a fraction does not create a land right. It points to one of the other instruments, a share, a lease, a loan or a contractual claim. The token adds a transfer mechanism. It does not add title.
Indonesia regulates crypto as a digital financial asset under OJK. OJK Regulation 27/2024 governs the trading of digital financial assets, including crypto assets, and took effect on 10 January 2025, when oversight of crypto trading moved from the commodities regulator (Bappebti) to OJK, per Assegaf Hamzah & Partners commentary. The Legal 500 country guide reports that only the rupiah is recognised as legal tender and that Bank Indonesia prohibits the use of crypto as a means of payment. Victaura Research found no source stating that a token can carry or evidence a registered land right in Indonesia. That is a finding of absence on 5 October 2026 and should be re-verified before use.
Title still sits where the register says. BPN registers the land right in the name of a PT or an Indonesian holder. A token holder has, at most, a contractual claim against the issuer or an interest in the entity. If a regulator treats the token as a security, the offering carries its own licensing question, in Indonesia and in the buyer's home state.
Exit is a transfer on a venue that has to exist. A token moves only where a market or the issuer allows it. The decision to sell the villa is set in the off-chain documents the token references. In a failure, the question is what the issuer's insolvency does to the claim the token refers to, and that question is answered off-chain. The principal asks for the underlying documents and not for the token's description.
What does a weekly right of use convey?
A right of use for set weeks is a right to occupy, not to own. The holder receives a defined period each year, often under a contract for a fixed number of years. The claim runs against the owner or the operator. It carries no interest in the land and no vote on the villa.
This is the structure the EU already regulates as timeshare. Directive 2008/122/EC covers timeshare and long-term holiday product contracts for consumers. It defines a long-term holiday product contract as one of more than one year in which a consumer acquires primarily the right to discounts or other benefits on accommodation. It sets pre-contractual information duties, a 14-day right of withdrawal and a ban on advance payments during that period. Whether a specific Bali week-right falls within it is a question of facts and national transposition, and this note does not decide it.
That protection attaches to the seller's conduct, not to the Indonesian land. A withdrawal right returns money in the first fortnight. It does not give the holder a claim on a villa in Bali. After the window the holder depends on the Indonesian owner continuing to hold the land and honouring the schedule of weeks.
Sale and exit are usually contractual and restricted. The owner decides on a sale of the villa. The holder may be able to assign the weeks if the contract allows it, to someone the operator accepts. In a failure, a week-holder is a contractual creditor of the operator, or a user of a property that belongs to someone else. The register shows neither the weeks nor the holder.
What does a participating loan to the promoter give the lender?
A loan to the promoter gives a claim for repayment and, at best, security. The lender holds a debt against the borrower, usually a PT. Whether the lender also holds security over the land is a separate document and a separate registration. Title remains with the borrower.
Security over Indonesian land is a registered right and not a promise. Law 4/1996 provides for Hak Tanggungan, the registered security right that Article 4 allows over Hak Milik, Hak Guna Usaha and HGB, and over Hak Pakai on state land where that right is registered and transferable. An unregistered pledge or a side letter sits outside it. Where the participating loan is unsecured, the lender is a concurrent creditor.
The insolvency ranking is where the distinction bites. Law 37/2004 distinguishes secured, preferred and unsecured creditors. Secured creditors, also called separatist creditors, may enforce their security, although Article 56(1) suspends that right for up to 90 days from the date the bankruptcy decision is pronounced. Unsecured creditors share what remains with the others. A participating lender with no registered security joins that queue.
Offering the loan to the public is itself a regulated act. In Indonesia, securities offered through technology-based crowdfunding fall under OJK rules. POJK 57/2020 allowed equity, debt securities and sukuk, and the official database shows it was replaced by POJK 17/2025. Which regime applies to an offer made into Spain, to Spanish buyers, is a question this note does not resolve. Exit is repayment at maturity or a sale of the claim, and the borrower decides the fate of the villa.
What happens to a Bali fractional holder if the operator fails?
Failure outcomes differ by instrument, and the table that follows sets them side by side. In each case the question is where the buyer stands relative to the land right and the operator's creditors. Operator failure here means the manager, the promoter or the head lessee stops performing.
A shareholder in a PT stands behind creditors. If the PT is itself the operator, the shareholders are last in line. If the operator is a separate management company, the PT and its land right may survive, and the share keeps whatever value the unit retains. The legal structure of the operator decides which case applies.
A lessee and a week-holder rely on the lessor's survival and the contract's enforceability. If the operator is a head lessee, a sub-lessee depends on the head lease continuing. If the head lessee fails, the sub-leases may fall with it, depending on the documents. Victaura Research flags this as drafting-dependent and has reviewed no document.
A token holder and a lender are creditors by function. Whatever the token refers to, its value is what the underlying claim recovers. A loan without registered security recovers pro rata with other unsecured claims, after secured creditors have enforced.
A failure of title is larger than a failure of the operator. If the land right was acquired through an arrangement the law voids, the structure can fail even when the operator is solvent. Article 26(2) of Law 5/1960 is the reference point. That is why the chain of title is the first diligence item and the operator's reputation is the last.
| Instrument | Real title to the land | Exit route | If the operator fails |
|---|---|---|---|
| Shares in a PT | PT holds the land right (for example HGB). Buyer holds shares, not title. | Share sale to co-holders, the promoter or a third party, on the terms of the articles and shareholders' agreement. | Shareholders rank behind the company's creditors. Value follows what the PT's assets realise. |
| Fractional lease | Indonesian landowner keeps title. Lessee holds a contract, a personal claim in Victaura Research's reading. | Assignment as the lease allows, with the lessor's consent in practice. Finite term. | Depends on the lessor and any head lessee surviving. Sub-leases may fall with a head lease. |
| Token | None in itself. Points to a share, lease, loan or contractual claim. | Transfer on a venue or through the issuer. The sale of the villa is governed by off-chain documents. | Value is whatever the underlying claim recovers. |
| Weekly right of use | None. Contractual right to occupy set periods. | Assignment only if the contract allows. The owner decides on the villa's sale. | Contractual creditor of the operator or owner. EU withdrawal right ends after 14 days. |
| Participating loan | None. Claim for repayment, with Hak Tanggungan only if registered. | Repayment at maturity or sale of the claim. The borrower decides on the villa. | Registered security may be enforced, subject to a suspension of up to 90 days. Unsecured claims queue. |
A fraction is not a smaller piece of land. It is a longer chain to the same land right.

Where does the nominee route stand since Perda Bali 4/2026?
The nominee route was void before 2026 and now carries provincial exposure. A nominee holds Hak Milik in a citizen's name for a foreign beneficiary. Article 26(2) of Law 5/1960 already voids transfers that pass the right to a foreigner. Bali Provincial Regulation 4/2026 on the control of productive land conversion and the prohibition of nominee land ownership transfer was enacted on 23 February 2026, according to the Hukumonline listing.
Commentary reports that the Perda reaches intermediaries. A Bali news analysis reports that the regulation extends criminal exposure to those who arrange these structures, not only to the parties. Victaura Research has not read the penalty articles in the official text and quotes no sentence. A press report dates the governor's signature at 24 February 2026, a day after the Hukumonline date. The principal should treat the date as 23 to 24 February 2026 until the official text is checked.
This matters for fractional offers because of one question, where beneficial control sits. A structure in which a citizen holds the land in a name that conceals a foreign beneficial owner is the case the Perda addresses. Whether a given fractional structure falls inside it depends on its documents. Victaura Research does not assert that any does. The ownership guide linked earlier covers the nominee ban in more detail.
A fiduciary wrapper is the same pattern in another form. A Bali news analysis describes the Perda as covering arrangements in which land is registered in an Indonesian citizen's name while a foreign party controls it through side agreements. A fiduciary holding for a foreign beneficiary of Hak Milik is the standard example. For a principal weighing a fraction, the useful test is whether any person in the chain holds land for someone the register does not name.
Why do layers between the buyer and the Bali land register matter?
Each layer adds a counterparty and a document. A share adds a company and its articles. A lease adds a lessor and possibly a head lessee. A token adds an issuer and a platform. A participating loan adds a borrower and, if it exists, a security registration. The buyer's position is the product of those layers, and the weakest one sets the outcome.
A special-purpose vehicle limits what a failure elsewhere can reach. How SPVs protect investors explains the ring-fencing of a single asset in its own entity. In a fractional structure the same idea raises a precise question. Does the entity hold one villa or several, and can the operator's other obligations reach it. The answer is in the constitutional documents, not in the offer summary.
Victaura publishes a project page for its Gili Air development, and it is a reference point only. The public page for Gili Air Villas describes that project in its own terms. This note draws no comparison between it and any fractional offer, and offers no view on any product. The structure of any holding is a matter for its own documents.
The test is portable. For any structure, in Bali, Lombok or elsewhere in the archipelago, the principal traces title, control, exit and failure, in that order, in writing. If a link in that chain cannot be put on paper by the seller, the buyer has found the first weakness.
Weaknesses, honestly disclosed
No offer document was reviewed. This note analyses instrument types in the abstract. It has not read any prospectus, articles of association, lease or token documentation, and any real product may differ from the model described. A real structure can combine several instruments, and can be better or worse than the generic case.
Statutory readings come from public texts and secondary commentary, and no Indonesian counsel has reviewed them. The reading of Articles 42 and 45 on domicile, the term ceilings and the creditor ranking were taken from official databases, a public transcription of Law 5/1960 and law firm summaries. They are directional until confirmed by a notary or advocate.
Several findings are analytic and not quoted rules. The treatment of a lease as a personal claim, the ranking of shareholders behind creditors in practice, and the dependency of sub-leases on head leases are analysis. They are labelled as such where they appear.
Sources conflict or are thin in places. The Perda 4/2026 date differs by a day between two sources, and its penalty text was not read. The replacement of POJK 57/2020 by POJK 17/2025 was taken from the official database listing. No source was found on tokens as evidence of land rights, which is a finding of absence on 5 October 2026 and not a proof of non-existence.
No yield, price or performance figure is used. That is deliberate. This note concerns what the buyer holds. It says nothing on whether any fraction is a good purchase, and no number in it should be read as a forecast.
What should the allocator ask before holding a Bali fraction?
Ask first who is named on the land certificate. The register entry, the holder, the type of right and its expiry date are facts, and the seller can produce them. If the named holder is not the entity in the offer, the chain has a link that needs explaining. If the right is a Hak Pakai or HGB, ask when the 30-year period ends and what the extension path is.
Ask second who decides the sale of the villa and by what vote. The answer sits in the articles, the lease or the loan agreement. A minority holder should know whether a sale can happen without consent and whether an exit can be forced. A week-holder should know that the owner decides.
Ask third how the holder leaves and who buys. An exit route that depends on the promoter finding a buyer is a dependency on the promoter. An exit that depends on a platform is a dependency on the platform. Each is acceptable only if priced and disclosed as such.
Ask fourth what survives the operator's failure, and under which court and law. The principal asks for the ranking in writing, the security registration if any, and the governing law of the instrument. Spanish consumer-law protections do not move the Indonesian land.
Skin in the game disclosure. Victaura, through its parent Greystone B.V. (Netherlands), develops projects on Lake Como (Italy), in Nungwi, Zanzibar (Tanzania), on Gili Air and in Uluwatu, Bali (Indonesia), and holds an off-plan capital position on Al Marjan Island, Ras Al Khaimah (UAE). Permit Calendar: Bali and Lombok, Step by Step
The permit calendar for a villa in Bali or Lombok runs through three statutory gates: KKPR for land suitability, PBG for the building permit, SLF for the right to use the finished building. Each gate has a ceiling in working days, and each ceiling binds the office, not the file. Gili Air sits under a different regency from Uluwatu.

Bali Luxury Villas: ADR and Occupancy, Measured
BPS star-hotel occupancy in Bali ranged from 46.61% to 69.54% across 2025, and Horwath HTL puts the island's top rate band at USD 796 ADR on 49.4% occupancy. Both are hotel figures. This article sets out what the public record measures for Uluwatu, Canggu, Ubud and Gili Air, and how a hotel number is corrected before anyone applies it to a villa.

Destinazioni
