Underwriting File: Twelve Questions, in Order

An allocator reviewing a property project in Lake Como, Zanzibar, Indonesia or Ras Al Khaimah (RAK) should ask twelve questions in a reasoned order, from title to rule change. The first four are gates that end the review when they fail. This note names what disqualifies at each, grades the evidence, and points to the Victaura Research article that goes deeper.

Key takeaways

  • - Order the review as gates first (title, permits, builder, guarantee), then priced risks, then carry and exit; a failed gate ends it (Victaura Research framework, October 2026).
  • - Hak Pakai is described as 30 + 20 + 30 years under GR 18/2021, 80 in total by arithmetic, on state land or Hak Pengelolaan land (up to 30 years, renewable by deed, on Hak Milik land, GR 18/2021, Article 52), and the term for foreigners has changed across regulations from 1996 to 2021 (Chambers 2025; University of Mataram journal; directional).
  • - In Zanzibar the instrument is a lease of up to 99 years, and ZIPA states minimum foreign capital of USD 2.5 million for hotels and real estate; for a company wholly owned by diaspora investors the Zanzibar Investment Act 2023 sets USD 200,000 (ZIPA FAQs; Zanzibar Investment Act 2023, Second Schedule).
  • - Italy's Legislative Decree 122/2005 requires a guarantee on sums paid and a ten-year damage policy at the deed, for individual buyers, with notarial form for projects whose permit was requested after 16 March 2019 (legal commentary; directional).
  • - Dubai Law No. 8 of 2007, Article 6, requires a developer selling off-plan to request an escrow account; the RAK instrument was not verified for this note (Dubai Legislation Portal).
  • - As of 16 September 2026 the ECB deposit facility rate is 2.50% and the main refinancing rate 2.65%; the policy rate is a floor and not the project's cost of capital (ECB key interest rates page, measured).
  • - The rupiah moved from IDR 17,168.1 per USD on 22 April 2026 to IDR 17,916.4 on 5 October 2026, 4.4% more rupiah per dollar, calculated from two observations (Katadata, measured points).
  • - Italian gains realised by an individual on property sold within five years of purchase are generally taxable as personal income; the new-resident flat tax rose to EUR 200,000 in 2024 and to EUR 300,000 in 2026, each time for later arrivals only (Agenzia delle Entrate Response 83/2018; Decree-Law 113/2024; Law 199/2025).

What is an underwriting file, and why does the order of the questions matter?

An underwriting file is the set of documents and answers an allocator requires before sizing a position in a property project. It is not a brochure and it is not a pitch deck. It is the record that lets a second person, who was never in the room, reject the deal for stated reasons. This note sets out twelve questions across Lake Como (Italy), Zanzibar (Tanzania), Indonesia and Ras Al Khaimah (RAK, United Arab Emirates), in the order a principal asks them.

Order matters because the questions are not equal. The first four are gates. A failed answer ends the review, however attractive the later numbers look. The next four price risk, and each can be negotiated. The last four govern what the position costs to hold, to run and to leave. An allocator who opens with the exit multiple has started in the wrong place, because the exit assumes that every earlier answer held.

Each question carries at least one disqualifier. A disqualifier is a specific finding that removes the project from consideration. A weakness can be priced and a disqualifier cannot. The right being bought may not exist, may not be enforceable, or may not be deliverable, and no discount rate repairs that. The table in the middle of this note sets all twelve side by side, and the sections around it give the reasoning.

The evidence in this note is graded, and the grade is stated. Statutory texts and central bank pages are treated as measured. Law-firm summaries, trade guides and press reports are directional. Where two sources disagree, the disagreement is written into the text and left visible. Nothing here is a Victaura internal figure.

The twelve questions are a screen, and the method is wider. The framework sits on the our approach page, and the strategy itself is defined in what value-add real estate means. The file is only the part of the work that can be written as a checklist. It is deliberately short, because a principal who cannot get one line answered in writing already has an answer.

Can a foreigner hold title, and what is the land allowed to become?

Question one is title, and the answer must name an instrument and a term. Hak Pakai is a registered right to use land in Indonesia for a fixed term, and it is the instrument most often offered to a foreign individual. It is not freehold. Secondary summaries of Government Regulation No. 18 of 2021 describe 30 years, an extension of 20 years and a renewal of 30 years, which sum to 80 years by the writer's arithmetic. That is a directional reading, and the primary text governs. Article 52 of the regulation applies that stack to Hak Pakai over state land or Hak Pengelolaan (management right) land, while a Hak Pakai over Hak Milik land runs up to 30 years and is renewed by a new deed (measured, official text). Academic work records that the term has been rewritten more than once since 1996.

In Zanzibar the instrument is a lease, and the file must say so in plain words. The Zanzibar Investment Promotion Authority (ZIPA) states on its own FAQ page, as read on 13 October 2026, that foreign investors cannot own land directly but can acquire it by lease for investment purposes, and that land is available for lease for up to 99 years. The same page sets minimum capital for foreign investors at USD 2.5 million in the hotel and real estate sectors. For a company wholly owned by diaspora investors the Zanzibar Investment Act 2023 sets USD 200,000 (Second Schedule, Part One). The Daily News reported on 8 June 2026 that the threshold for diaspora investors had been cut from USD 2.5 million to USD 200,000, the figure the Act already sets, so the applicable threshold, and whether it binds the developer or the buyer of a unit, should be confirmed with ZIPA on the date of review. The disqualifier is a sales document that says ownership where the instrument is a term-bound lease. The reading is set out in what a foreigner can own in Zanzibar.

Question two asks what the land is permitted to become, and permission is a document. A plot is valued for the building it can carry, and the area it covers matters less. The file therefore needs the permit, or the dated calendar of permits still to be obtained, with a note of who holds each approval. For Lake Como the test is whether the building as it stands matches the planning and cadastral record, the subject of the conformity test for Lake Como villas. For Bali and Lombok the equivalent is the sequence of approvals, laid out in the permit calendar for Bali and Lombok.

A development covenant turns a title question into a permit question. The Citizen reported in January 2023 that ZIPA said it would revoke leases on land that investors fail to develop within the required period. That is press reporting and directional. The statute gives a period: a lease of public land may be terminated if the holder fails to complete development of the land within thirty months of being granted the lease (Land Tenure Act 1992, Section 48(1)(a), as replaced in 2010; measured, text published by the House of Representatives). Both show why the two questions sit together. A lease that cannot be built on within its covenant is a lease at risk of being lost. The disqualifier for question two is a title with no credible route to the permit that the business plan assumes.

Who builds, and what protects the money paid in if the building stops?

Question three asks who physically builds, and the answer must be an entity with a file that can be checked. The disqualifier is a builder named in a presentation and nowhere else. The principal needs the company registration, the contract that binds it, the permits issued in its name and the insurance that follows it. How a contractor's claims are verified is covered in reading a contractor's record, which treats the evidence as documents and leaves reputation aside.

Question four asks what happens to the money if the building stops. In Italy, Legislative Decree 122/2005 requires a builder selling property still to be built to a private buyer to hand over, when the preliminary contract is signed, a bank or insurer guarantee on the sums paid and still due before the transfer. A ten-year damage policy must be delivered at the deed, and commentary describes its absence as voiding the contract. Provisions of the insolvency code in force from 16 March 2019 added a notarial form, and the text as amended names a bank or an insurer as issuer of the guarantee; they apply to projects whose building permit was requested or filed after that date. These descriptions come from legal commentary and trade summaries, and the consolidated text should be read before reliance (directional).

The Italian regime protects a natural person, and an allocator buying through a company should assume it does not. The decree's scope, as the commentary reads it, is a buyer who is an individual. A holding company is a different buyer. The disqualifier is a structure chosen for tax or custody reasons that quietly removes the statutory guarantee, with no contractual replacement. The guarantee also returns money paid. It does not finish the building. What such instruments cover in practice is the subject of what a completion guarantee actually covers.

Dubai answers question four with an escrow, and RAK has to be asked separately. Article 6 of Dubai Law No. 8 of 2007 provides that a developer who wishes to sell units off-plan must submit a request to open an escrow account (measured, Dubai Legislation Portal, opening of the article only). That is a law of the Emirate of Dubai. RAK is a separate emirate, and which escrow or equivalent instrument applies to a given project on Al Marjan Island was not verified for this note. The principal should ask the developer to name the instrument and the law that requires it. The disqualifier is a seller that offers neither a guarantee, an escrow nor a bond, which turns an off-plan purchase into a development position, the distinction drawn in off-plan versus direct development.

A disqualifier cannot be priced. A weakness can.

Which vehicle holds the asset, and in which currency does it reckon?

Question five asks which legal entity owns the right, and whose name stands behind it. In Indonesia a foreign-owned company, a PT PMA, carries its own set-up cost and reporting calendar, which the PT PMA cost and calendar note sets out. A dedicated special purpose vehicle ring-fences one project from another, as how a dedicated SPV protects investors explains. The disqualifier is a nominee arrangement under which the principal's name appears on no registered document.

A vehicle can also undo earlier answers. If the buyer is a company, the Italian statutory guarantee may fall away. If the holder is a foreign legal entity, eligibility for a right such as Hak Pakai is tested on the entity, and a secondary summary lists foreign companies represented in Indonesia among eligible holders (directional). The vehicle question therefore has to be re-run against questions one and four. A file that answers them in isolation is not finished.

Question six asks in which currency the asset reckons and in which currency the principal reports. Katadata recorded the rupiah at IDR 17,168.1 per US dollar on 22 April 2026 and at IDR 17,916.4 on 5 October 2026. That is 4.4% more rupiah per dollar, by the writer's arithmetic on two data points, and about 4.2% less dollar value for the same rupiah-denominated asset (measured points, calculated change, no forecast). Two dates are not a trend, and the file should not pretend otherwise.

The disqualifier for question six is an unstated currency. A project with costs in one currency, revenue in another and a principal reporting in a third needs the three written down, with the cost of hedging beside them. The discipline is set out in the currency layer, and hedging cost is measured in what hedging actually costs.

What do ECB rates say about the cost of capital, and what can be insured?

Question seven asks what the capital costs, and the policy rate is only the floor. As of 16 September 2026 the European Central Bank's deposit facility rate is 2.50%, the main refinancing operations rate 2.65% and the marginal lending facility rate 2.90% (measured, ECB key interest rates page, read on 8 October 2026). Those are the rates at which banks deal with the central bank. A developer's loan, a mezzanine tranche and the principal's own hurdle all sit above them, by margins the central bank does not publish.

The disqualifier for question seven is a model that does not state its discount rate or its financing terms. If the project is levered, the file needs the lender's term sheet, the margin over the reference rate, and the covenant that would be tested if values fall. If it is unlevered, the file needs the principal's own hurdle, written down. The reasoning is developed in the cost of capital and prime property, and the file should record the date of every rate it uses, since the date moves the answer.

Question eight asks what can be insured, to what limit, and against which exclusions. In Italy a ten-year damage policy is a statutory delivery on off-plan sales to private buyers. For the other hazards the quote is the evidence. A lakefront site carries flood exposure, an island carries storm and sea exposure, and the insurer's willingness to write cover is information about the site. When climate risk gets priced shows how that information arrives.

The disqualifier for question eight is a main hazard that cannot be insured. A site where the principal receives no quote, or a quote that excludes the hazard the site is known for, cannot be insured in the ordinary way. Design can reduce exposure, as designing for the hazard argues for Lake Como, but design is a response to the hazard. It does not replace cover.

Who operates the asset, and how does the principal exit?

Question nine asks who runs the asset after handover, under which contract, and with what right of termination for the owner. A brand or operator named in a render is not an operator. The disqualifier is a management arrangement that is announced but not executed, or executed with no owner-side exit if performance fails. The cost side of such a contract is analysed in the management agreement behind a branded residence, and the verification steps in how to verify a branded residence claim.

Question ten asks who buys from the principal, when, and after which tax. Exit is the question most often answered with a yield and a multiple. It should be answered with a buyer class and a holding period. In Response 83/2018 the Italian tax authority explains that a gain on property sold within five years of purchase or construction is generally taxable, because speculative intent is presumed, with exclusions for inherited property and for a home used as main residence for most of the holding period (measured, tax authority ruling). An exit planned inside five years is a different calculation from an exit planned after. The ruling treats such a gain as income subject to IRPEF, the personal income tax, so a principal selling through a company should not assume the five-year line applies.

A non-resident principal should not assume the main-residence exclusion. The exclusion depends on the home having served as a main residence, and a principal who lives elsewhere should ask Italian counsel before assuming it applies. The mechanics of selling at the top of the market are in how prime property actually sells, and they begin with the buyer pool, which is smaller than the headline price implies.

The disqualifier for question ten is an exit that depends on one buyer. If the only plausible purchaser is the operator, the developer or a single institution, there is a negotiation and no market. Evidence of resale is thin in newer branded markets, a limit examined in the resale test for branded residences. In resort markets a liquidity discount is the usual price of that thinness, as the liquidity discount in prime resort property discusses.

An answer without an author is an assertion.

What does holding cost, and which rule can change under the position?

Question eleven asks what the asset costs to hold in a year when nothing happens. Service charges, utilities, insurance, staffing, owner-use restrictions and management fees accrue whether or not a guest arrives. Island properties add the cost of water, power and waste, and the gap between gross and net rental income is where a headline yield can lose its meaning. Owner nights against rental nights prices one version of this trade-off. The disqualifier is a carry that is not modelled, or a rental figure quoted only gross.

Question twelve asks which rule can change under the position, and who is protected when it does. Rules change, and a change may fall only on new entrants. The Hak Pakai term for foreigners has moved through Government Regulation 41 of 1996, Government Regulation 103 of 2015 and Government Regulation 18 of 2021, according to a paper in a University of Mataram law journal (directional, academic). Each step changed what a holder could count on.

Italy offers a clean example of grandfathering. Decree-Law 113 of 9 August 2024, converted by Law 143 of 7 October 2024, raised the annual substitute tax on the foreign-sourced income of new residents from EUR 100,000 to EUR 200,000, for those who transferred residence after Decree-Law 113/2024 entered into force on 10 August 2024. Law 199 of 30 December 2025 (Article 1, paragraphs 25 and 26) raised it again, to EUR 300,000, and the amount for each family member from EUR 25,000 to EUR 50,000, for those who transfer residence from 1 January 2026 (enacted texts on Normattiva). Each change applied only to later arrivals, and those already in the regime kept the figure in force when they moved. The lesson for the file is the asymmetry, since a change can spare the incumbent and charge the next arrival. Later amendments may exist, and the principal should read the text in force for the year of arrival.

A rule whose statute cannot be named is a disqualifier by itself. Summaries do not always name it. When read for this note, on 13 October 2026, ZIPA's FAQ page said that a new Zanzibar Investment Act 2023 had been signed and gave no number or section, and a press report quotes a ZIPA official referring to a 2023 Act on the acquisition of land from local communities. The statute supplies what a summary leaves out: the Zanzibar Investment Act 2023 (Act No. 10 of 2023) was assented to on 1 February 2024, its Section 62 repeals the Zanzibar Investment Promotion and Protection Authority Act No. 14 of 2018, its Sections 20 to 23 govern the Certificate of Investment and its Section 27 the acquisition of land (measured, text published by the House of Representatives). The file should cite the Act and the section in force, and counsel should confirm both on the date of review. The wider Bali picture, where regulation itself limits supply, is in Bali's moratorium.

The twelve questions, the finding that ends the review, and where Victaura Research goes deeper

Why does disqualification come before scoring?

Disqualification protects the allocator from sunk cost. Once a team has modelled a project, visited it and negotiated terms, every later finding is read generously. A gate placed early forces the hard answer while walking away still costs little. The first four questions come first because they are binary and cheap to check, and the effort spent on them is small against the effort of a full model.

Scoring belongs to the questions that can be negotiated. Currency, cost of capital and insurance admit a price. A principal can accept a weaker answer on question six if the hedge is priced. Nobody can price an absent title. That is why the table names only the finding that ends the review, and why a weaker answer on the later rows is priced as a condition.

The order can be rearranged for a different principal, and the gates cannot be dropped. A family office reporting in Swiss francs may put currency earlier. What cannot move is the principle that the existence and enforceability of the right come before anything that prices it.

A file also records who answered. Each answer should carry its author and its date, whether that is the notary, the lawyer, the insurer or the engineer. An answer without an author is an assertion. The same logic is why the grades measured and directional are written into this note, and why a figure that cannot be graded has been left out.

Weaknesses honestly disclosed

The order is a judgment, and other orders are defensible. A principal with a currency mandate may reasonably ask question six as soon as the four gates are passed. A principal with a fixed holding period may bring the exit forward to the same point. The sequence here reflects the view that irreversible legal findings come before reversible financial ones. It is a view, and no dataset proves it.

Much of the legal content is secondary. The Hak Pakai terms come from a law-firm guide and an academic paper, and only Article 52 of the regulation was read in the official text. The Italian guarantee and policy rules come from legal commentary and trade summaries, and the consolidated text was not re-read in full for this note. For Dubai, only the opening of Article 6 was seen. For Zanzibar, a June 2026 press report describes as new a diaspora threshold that the 2023 Act already sets. Each of these should be confirmed by counsel against the full primary text before reliance.

The numbers are few, and two of them are single dates. The ECB figures are as of 16 September 2026 and will change at the next decision. The two rupiah observations are points, and the 4.4% is arithmetic on them. No forecast is offered. Nothing here measures the cost of capital for any specific project, and no Victaura project is used as data.

The twelve questions leave gaps. Counterparty integrity, sanctions screening, political risk, tax structuring beyond two examples, and the specifics of the RAK escrow regime are not covered, and the Italian five-year rule is one tax example among many. The note is not legal or tax advice, and a principal should take local counsel in each jurisdiction before relying on any line of it.

Exit comes late because it assumes every earlier answer held.

Victaura Research

What does the principal take from the file?

The principal takes a sequence and a set of exclusions. Title and permit come first. Builder and guarantee come second. Vehicle, currency, capital cost and insurance come third. Operator, exit, carry and rule change come last. Each stage can end the review, and each answer needs an author, a date and a grade.

The test of a file is whether a stranger could reject the project from it. If the file only allows approval, it is a brochure with footnotes. If it states what would have caused rejection and shows that none of those findings occurred, it is underwriting. The standard is demanding on purpose, and it applies to Victaura's own material as much as to anyone else's.

Skin in the game disclosure. Victaura, through its parent Greystone B.V. (Netherlands), develops projects on Lake Como (Italy), in Nungwi, Zanzibar (Tanzania), on Gili Air and in Uluwatu, Bali (Indonesia), and holds an off-plan capital position on Al Marjan Island, Ras Al Khaimah (UAE). Readers should assume commentary may be influenced by, or benefit, these positions. This document is classified as marketing material under MiFID II Article 24(3). It is not investment advice.
